1. Introduction

Ebi Consulting provides digital consulting and creative services including, but not limited to:

• Website Design & Development
• Branding & Graphic Design
• Digital Marketing
• Hosting & Domain Services
• POS & E-Commerce Solutions
• Consulting Services

These Terms govern all projects, services, products, communications, and interactions between Ebi Consulting and the client (“you”, “your”).

2. Acceptance of Terms

By engaging our services, approving a quotation, paying a deposit, or using our website, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.

3. Quotations & Project Approval

All quotations are valid for 14 days unless otherwise stated.

Project work will only commence once:

• The quotation has been approved; and
• Any required deposit or payment has been received.

Any additional work requested outside the approved scope may result in additional charges.

4. Payment Terms

Deposits are non-refundable once work has commenced.

Unless otherwise agreed:

• A 50% deposit is required upfront.
• The remaining balance is due upon project completion or before launch.

Monthly services must be paid in advance.

Late payments may result in:

• Suspension of services;
• Delayed project delivery; or
• Removal of hosting or website access until payment is received.

Ebi Consulting reserves the right to charge interest or collection fees on overdue accounts where applicable.

5. Revisions & Scope Changes

Reasonable revisions are included where specified in the quotation.

Major design changes, additional pages, feature requests, or changes after approval may be billed separately.

Scope changes may affect pricing and delivery timelines.

6. Client Responsibilities

The client agrees to:

• Provide all required content, images, branding, and information in a timely manner;
• Ensure they have the legal rights to all supplied materials;
• Review and approve work within reasonable timeframes; and
• Maintain accurate contact and billing information.

Delays caused by missing client content or approvals may impact project timelines.

7. Intellectual Property

Unless otherwise agreed in writing:

• Final approved work becomes the client’s property once full payment has been received.
• Ebi Consulting retains the right to showcase completed work in portfolios, social media, and marketing materials.
• Draft concepts, unused designs, source files, and proprietary systems remain the property of Ebi Consulting unless specifically transferred.

Third-party assets, plugins, fonts, software, or licenses remain subject to their respective owners’ terms and conditions.

8. Website Hosting & Domains

Where Ebi Consulting provides hosting or domain services:

• Hosting fees are payable monthly or annually in advance;
• Failure to pay may result in suspension or termination of services; and
• Clients remain responsible for renewing domains unless managed directly by Ebi Consulting.

While reasonable security measures are implemented, uninterrupted or error-free service cannot be guaranteed.

9. Digital Marketing Services

Marketing and advertising results may vary depending on industry, competition, budgets, audience behaviour, and external platform algorithms.

Ebi Consulting does not guarantee:

• Specific sales;
• Rankings;
• Leads;
• Revenue increases; or
• Advertising outcomes.

We commit to providing professional strategy, execution, and optimisation services.

10. Limitation of Liability

Ebi Consulting shall not be liable for:

• Indirect or consequential damages;
• Loss of revenue, profits, or business opportunities;
• Third-party service outages;
• Data loss; or
• Security breaches beyond reasonable control.

Our total liability shall not exceed the amount paid by the client for the relevant service provided.

11. Third-Party Services

Projects may rely on third-party services including:

• Hosting providers;
• Payment gateways;
• Social media platforms;
• APIs;
• Plugins; and
• Software tools.

Ebi Consulting is not responsible for outages, pricing changes, policy changes, or limitations imposed by third-party providers.

12. Confidentiality

Both parties agree to keep confidential information private and not disclose sensitive business information to third parties without consent, unless required by law.

13. Cancellation & Termination

Either party may terminate services with written notice.

If a project is cancelled:

• Work completed up to the cancellation date remains billable;
• Deposits already paid are non-refundable; and
• Outstanding balances become immediately due.

Monthly services may require 30 days written notice for cancellation.

14. Project Timelines

Estimated timelines are provided in good faith but may vary depending on:

• Client feedback delays;
• Content delivery;
• Scope changes;
• Technical limitations; and
• Third-party dependencies.

Ebi Consulting is not liable for delays outside of our control.

15. Website Content & Compliance

Clients are responsible for ensuring their website content complies with applicable laws and regulations, including copyright, advertising, and privacy laws.

Ebi Consulting reserves the right to refuse projects involving illegal, harmful, offensive, or unethical content.

16. Privacy

Any personal information collected is handled in accordance with applicable privacy laws and our Privacy Policy.

17. Amendments

Ebi Consulting reserves the right to update these Terms and Conditions at any time without prior notice.

Updated versions will be published on our website.

18. Governing Law

These Terms and Conditions are governed by the laws of South Africa.

Any disputes shall be subject to the jurisdiction of South African courts.
